Barriston has a Corporate Commercial Assistant position available in our Ferris Lane Office as follows:


  • A minimum of 3-5 years’ of experience

Skills and Abilities

  • Ability to analyze minute books


  • Completes corporate minute books and folders and enters information into corporate database

  • Drafts correspondence to clients and follows up as necessary

  • Creates lists of fiscal year ends, determines completed year and corresponds with accountant for financial statement information.

  • Takes calls from potential new clients

  • Archives all files if required. 

  • Prepares dividend and bonus resolutions

  • Drafts Articles of Incorporation, Articles of Amendment, Articles of Amalgamation and Articles of Dissolution, and appropriate resolutions/documents

  • Conducts minute book reviews and updates or recreates minute books as necessary

  • Drafts reorganizational documents, including section 85 & 86 rollovers, small share purchases and sales, redemption of shares, stock dividends, deeds of gift, changes to officers and directors

  • Prepares Professional Corporation membership applications/renewals

  • Prepares security documentation

  • Conducts corporate searches as necessary

  • Review for business names and certificate of authorizations and writes to client for instructions on renewals.

  • Records time

  • Prepares draft invoices, and related items
